Envirocare Purchased by Investor Group

February 1, 2005 Salt Lake City, UT Envirocare of Utah today announced that the company has been purchased by a private investor group led by Lindsay Goldberg & Bessemer. The group also includes local Utah investors Creamer Investments and Peterson Partners.

"As the new ownership group, we are committed to banning B & C waste in the state of Utah," said Lance Hirt, Partner of Lindsay Goldberg & Bessemer and Chairman of Envirocare Board of Managers. "We are proud to be the newest members of the Utah business community."

Ban of B & C Waste
Envirocare has presented a letter officially withdrawing its application to accept B & C waste in the State of Utah to Governor Jon Huntsman, Jr., Utah Senate President John Valentine, Speaker of Utah House of Representatives Greg Curtis and Department of Environmental Quality Executive Director Dianne Nielson. "I am pleased to formally withdraw Envirocare's application to accept B & C waste in Utah," said Steve Creamer, Chief Executive Officer of Envirocare. "We will work with the Governor and the legislature to ban B & C waste in Utah."

Cedar Mountain Purchased
To further demonstrate Envirocare's commitment to banning B & C waste in Utah, this transaction also includes the purchase of the Cedar Mountain facility, which is adjacent to the Envirocare facility in Clive, Utah. Under Envirocare's leadership, the Cedar Mountain facility will be merged into Envirocare and neither facility will ever accept B & C waste.

Formation of Envirocare Charitable Trust Envirocare is creating a charitable trust whose mission will be to preserve and enhance the environment of Utah. Envirocare has pledged initial funding of $1 million to this trust. This trust will remain separate from other charitable entities that Envirocare currently supports.

The Executive Director of the trust will be Utah resident Fraser Bullock, former Chief Operating Officer and President of the Salt Lake Olympic Organizing Committee.
